Terms & Conditions of Alp

Effective date: April 10, 2026
By accessing or using Alp, including letsalp.com, the Alp mobile applications, and any related services or APIs, you agree to these Terms & Conditions ("Terms"). If you do not agree, you must not use Alp.

1. Who we are

In these Terms, "Alp", "we", "us", and "our" refer to ayana group AG and the Alp platform.

2. What Alp is
Alp is a technical platform that enables publishers, creators, businesses, and other users to publish, distribute, sell, buy, access, and use map-based or location-based digital content, including maps, guides, lists, routes, and related materials.
Alp acts solely as a technical intermediary. We do not generally create, review, verify, endorse, control, monitor, moderate, or inspect user-created or seller-created content, and we are not a party to contracts, sales, licenses, or disputes between users unless we expressly state otherwise in writing.
Nothing in these Terms creates any employment, agency, partnership, fiduciary, franchise, joint venture, or similar relationship between Alp and any user, seller, publisher, or buyer.

3. Separate publisher agreements
Commercial creators, publishers, and other sellers may be subject to separate written agreements with us, including publisher or seller agreements.
If a separate written agreement with us conflicts with these Terms, the separate written agreement prevails for that seller to the extent of the conflict.

4. Eligibility
You may use Alp only if you have legal capacity to enter into a binding contract under applicable law.
If you are under the age of legal majority in your jurisdiction, you may use Alp only with the consent and direct supervision of a parent or legal guardian, who accepts these Terms on your behalf.
You must not use Alp if:
  • you are located in a country or territory subject to applicable trade sanctions, embargoes, or similar restrictions;
  • you are listed on any applicable prohibited, denied, blocked, or restricted-party list; or
  • your use of Alp would violate export-control, sanctions, anti-money-laundering, or similar laws.
We may restrict or terminate access where necessary to comply with such laws or with the requirements of our payment processors, app stores, service providers, or regulators.

5. Accounts
Certain features require an account. You must provide accurate, complete, and current information and keep it updated.
Unless we explicitly allow otherwise:
  • you may register only one account;
  • you may not share your account with another person;
  • bot, scripted, or automated account creation is prohibited.
You are responsible for maintaining the confidentiality and security of your login credentials and for all activity occurring under your account. You must notify us immediately and unambiguously at [email protected] if you believe your account, credentials, or personal data have been compromised, accessed without authorization, disclosed without your consent, or stolen. Until we receive such notice, you remain fully responsible for all activity conducted under your account.

6. Suspension and termination
We may, at our sole discretion and with or without notice, suspend, restrict, disable, or terminate your account or access to Alp if:
  • you breach these Terms;
  • we reasonably suspect fraud, abuse, unlawful conduct, sanctions risk, security risk, scraping, or misuse;
  • required by law, court order, regulator, app store, payment provider, or service provider;
  • your use creates risk, harm, or liability for Alp, our users, or third parties.
We may also remove, disable, or restrict access to content at our sole discretion.
Termination or suspension does not entitle you to compensation, damages, or reimbursement, except where mandatory law requires otherwise. Any amounts owed by you remain due.
You may stop using Alp at any time. If you cancel a paid subscription, cancellation takes effect at the end of the then-current paid period unless mandatory law requires otherwise.

7. Purchases, payments, and subscriptions
Alp may offer paid digital content, one-time purchases, subscriptions, upgrades, or other paid features.
Prices, taxes, descriptions, availability, and features may change from time to time. The terms shown at checkout or on the relevant purchase page apply to the specific purchase.
Web purchases are processed through third-party payment processors such as Stripe. We do not store full payment-card details on our own systems. By making a purchase through a third-party payment processor, you may also be subject to that provider's terms, conditions, and policies.
If a payment is refused, reversed, charged back, cancelled, or fails, we may suspend or revoke access to the relevant content or service and recover related costs, fees, and losses where permitted by law.
Unless expressly stated otherwise:
  • subscriptions renew automatically for successive periods matching the original billing period;
  • you authorize the applicable payment method to be charged for renewals and related taxes;
  • you must cancel before renewal to avoid the next charge;
  • access generally continues until the end of the paid period already billed.
Where required by law, we will provide any legally required renewal reminders or notices.

8. App store terms
If you download or use Alp through the Apple App Store, Google Play, or another app store, you acknowledge that:
  • these Terms are between you and ayana group AG, not the app store provider, except where the app store's mandatory terms apply;
  • the relevant app store provider may impose additional terms, which also apply;
  • if there is a conflict between these Terms and mandatory app store terms, the mandatory app store terms prevail to the extent of that conflict.
For Apple-distributed versions of Alp, you further acknowledge that:
  • Apple is not responsible for Alp or its content;
  • Apple has no obligation to provide maintenance, support, or warranty services for Alp;
  • to the extent permitted by law, Apple is a third-party beneficiary of these Terms and may enforce them against you;
  • subscriptions purchased via Apple renew automatically, and renewal charges occur within 24 hours before the end of the current billing period; you must cancel at least 24 hours before the end of the current period to avoid being charged for the next renewal.
Subscriptions purchased via an app store must generally be managed and cancelled through the relevant app store account settings unless stated otherwise.

9. EU consumer withdrawal
If you are a consumer in the European Union or another jurisdiction granting mandatory withdrawal rights for distance contracts, you may have a legal right to withdraw in certain cases.
However, for digital content not supplied on a tangible medium, you expressly request immediate performance and acknowledge that, once access, download, streaming, or use begins, your withdrawal right may be lost or waived to the extent permitted by applicable law.
Where mandatory law requires a specific form of consent or acknowledgment for that waiver, the applicable checkout flow, button text, checkbox, or similar mechanism forms part of the purchase process.

10. User content
You may be able to upload, publish, submit, transmit, or otherwise make available content through Alp, including maps, routes, guides, lists, text, images, reviews, descriptions, metadata, and other materials ("User Content").
You retain ownership of your User Content, but you grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, adapt, modify, process, display, publish, distribute, make available, and otherwise use that User Content as necessary to operate, improve, secure, market, and provide Alp.
To the extent permitted by law, that license continues for as long as reasonably necessary for those purposes, and surviving copies may remain in backups, archives, logs, legal records, or technical systems.
You represent and warrant that:
  • you have all rights, permissions, consents, and authority needed for your User Content and its use on Alp;
  • your User Content and its use on Alp do not violate law or infringe third-party rights;
  • your User Content is accurate to the extent required by law and by the way you present it.
You are solely responsible for your User Content and for preserving your own copies.
By uploading or publishing any content on Alp, you confirm that you have read and agreed to these Terms, including the content standards in Section 11.

11. Content standards and acceptable use
Alp operates a zero-tolerance policy for objectionable content and abusive users. Such content will be removed and the responsible account immediately terminated.
You may not use Alp, upload content, or interact with Alp in any way that:
  • violates any applicable law, regulation, sanctions regime, or third-party rights;
  • is fraudulent, deceptive, misleading, defamatory, threatening, abusive, harassing, hateful, discriminatory, obscene, or otherwise unlawful;
  • promotes violence, self-harm, illegal activity, malware, phishing, or unauthorized advertising;
  • infringes intellectual-property, privacy, publicity, confidentiality, or data-protection rights;
  • impersonates another person or misrepresents affiliation, endorsement, authority, identity, or source.
You may not:
  • scrape, harvest, crawl, extract, copy, mirror, index, or collect content, data, pricing, listings, maps, metadata, or other information from Alp by automated means or at scale without our prior written consent;
  • bypass or attempt to bypass access controls, rate limits, technical restrictions, robots instructions, anti-bot systems, or security features;
  • reverse-engineer, decompile, disassemble, or attempt to derive source code, trade secrets, or underlying ideas from Alp, except where mandatory law expressly allows it;
  • probe, scan, test, or exploit vulnerabilities in Alp or related systems;
  • use Alp in an excessive, abusive, or technically harmful way, including by sending excessive API requests or imposing undue load on the platform;
  • circumvent payments, commissions, fees, subscriptions, or access controls;
  • use Alp to distribute malware, spyware, ransomware, or similar harmful code;
  • resell, sublicense, or commercially exploit Alp or its content except as expressly allowed by us.
We may investigate suspected violations and may take any action we consider appropriate, including content removal, account suspension, legal action, reporting to authorities, and technical blocking.

12. Intellectual property
Alp, including its software, apps, APIs, databases, design, structure, selection, arrangement, branding, trademarks, logos, graphics, and other platform content provided by us or our licensors, is owned by us or our licensors and protected by applicable intellectual-property and unfair-competition laws.
Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use Alp only for its intended purpose.
Except as expressly permitted by us in writing or by mandatory law, you may not copy, reproduce, modify, translate, distribute, sell, license, publicly display, publicly perform, publish, create derivative works from, or otherwise exploit Alp or our content.

13. Third-party services and content
Alp may rely on or interoperate with third-party services, including payment providers, app stores, cloud hosting, storage, mapping, content delivery, image processing, email delivery, analytics, and other infrastructure or software providers.
We do not control and are not responsible for third-party services, websites, products, content, policies, downtime, acts, or omissions. Your use of third-party services may be subject to separate terms and policies.
References to third-party services do not imply endorsement.

14. Map, route, and data disclaimer
Maps, routes, points of interest, terrain information, navigation data, descriptions, business information, opening hours, weather-related information, and other geographic or location-based content on Alp are provided for general informational purposes only.
Such content may be incomplete, inaccurate, outdated, misleading, unavailable, or unsafe. Underlying map layers and third-party data sources may also contain errors or omissions.
You use all map, route, and location-based content at your own risk. You are solely responsible for verifying conditions, legality, safety, accessibility, and suitability before acting on any content or navigating based on it.
To the fullest extent permitted by law, we are not responsible for accidents, injury, death, personal injury, property damage, loss, delay, fines, costs, business loss, or any other consequences arising from reliance on map or location-based content.

15. Service availability
Alp is provided on an "as is" and "as available" basis and on a best-efforts basis.
We do not guarantee that Alp will be uninterrupted, error-free, secure, accurate, complete, available at any particular time or location, or free of loss, corruption, bugs, malware, or harmful components.
We may suspend, interrupt, restrict, or discontinue all or part of Alp at any time for maintenance, updates, security, operational reasons, legal reasons, or other reasons, with or without notice.
You are responsible for maintaining your own backups and taking appropriate security precautions on your own systems and devices.

16. Force majeure
To the fullest extent permitted by law, we are not liable for any delay, failure, interruption, or non-performance caused directly or indirectly by events beyond our reasonable control, including:
  • natural disasters, extreme weather, fire, flood, earthquake, pandemic, epidemic, war, terrorism, civil unrest, labor disputes, governmental action, sanctions, embargoes, or power failures;
  • failures of telecommunications, internet, hosting, DNS, cloud, storage, mapping, app store, payment, or other third-party systems or providers;
  • hacking, cyberattacks, malware, denial-of-service attacks, or other security incidents not caused by our intentional misconduct or gross negligence.
17. Disclaimer of warranties
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALP, ALL CONTENT, ALL USER CONTENT, ALL MAP AND LOCATION DATA, AND ALL RELATED SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OR REPRESENTATIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE.
WE DISCLAIM, TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AVAILABILITY, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT:
  • ALP WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
  • ALP WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • CONTENT OR DATA WILL BE ACCURATE, COMPLETE, RELIABLE, CURRENT, OR SAFE;
  • DEFECTS WILL BE CORRECTED;
  • ALP OR ANY FILES OR DATA MADE AVAILABLE THROUGH IT WILL BE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

18. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE AND OUR DIRECTORS, OFFICERS, EMPLOYEES, SHAREHOLDERS, AFFILIATES, LICENSORS, CONTRACTORS, AGENTS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS, CONTRACTS, OPPORTUNITIES, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATING TO ALP, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR:
  • USER OR SELLER CONTENT;
  • DISPUTES, TRANSACTIONS, OR INTERACTIONS BETWEEN USERS;
  • THIRD-PARTY SERVICES OR INFRASTRUCTURE;
  • INTERRUPTIONS, DOWNTIME, FORCE-MAJEURE EVENTS, OR SECURITY INCIDENTS NOT CAUSED BY OUR INTENTIONAL MISCONDUCT OR GROSS NEGLIGENCE;
  • ERRORS OR OMISSIONS IN MAPS, ROUTES, LISTINGS, OR OTHER CONTENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO ALP OR THESE TERMS WILL NOT EXCEED:
  • FOR PAYING USERS, THE TOTAL AMOUNT PAID BY YOU TO US IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR
  • FOR NON-PAYING USERS, CHF 100.
NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY TO THE EXTENT SUCH EXCLUSION OR LIMITATION IS PROHIBITED BY APPLICABLE LAW, INCLUDING LIABILITY FOR INTENTIONAL MISCONDUCT, GROSS NEGLIGENCE, OR FOR DEATH OR PERSONAL INJURY WHERE SUCH LIABILITY CANNOT BE EXCLUDED.

19. Indemnification
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless us and our directors, officers, employees, affiliates, licensors, contractors, agents, and service providers from and against any claims, actions, proceedings, liabilities, damages, losses, judgments, fines, penalties, costs, and expenses, including reasonable legal fees, arising out of or relating to:
  • your use of Alp;
  • your User Content;
  • your breach of these Terms;
  • your violation of law;
  • your infringement or misappropriation of any third-party rights;
  • any activity conducted through your account.
We may assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with us.

20. Privacy
Our handling of personal data is described in our Privacy Policy, which forms part of the overall legal framework governing your use of Alp.

21. Changes to these Terms
We may amend, update, or replace these Terms from time to time.
Where legally required, we will provide advance notice of material changes by email, in-app notice, website notice, or another appropriate method. The updated Terms become effective on the date stated in them.
By continuing to use Alp after the effective date of updated Terms, you agree to the updated Terms. If you do not agree, you must stop using Alp and, where applicable, cancel your subscriptions.

22. No waiver
If we fail to exercise or enforce any right or provision of these Terms, that does not waive that right or provision. Any waiver must be in writing and signed by us to be effective. A waiver of one breach is not a waiver of any other breach.

23. Assignment and subcontracting
We may assign, transfer, novate, delegate, or subcontract any of our rights or obligations under these Terms, in whole or in part, including in connection with a restructuring, merger, acquisition, sale of assets, financing, or use of third-party service providers.
You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent.

24. Severability
If any provision of these Terms is held to be invalid, unlawful, unenforceable, or ineffective, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in full force and effect. If required, the invalid or unenforceable provision will be interpreted or replaced in a way that most closely reflects its original purpose while remaining legally valid.

25. Entire agreement
These Terms, together with our Privacy Policy, applicable purchase terms shown at checkout, and any separate written agreement between you and us, constitute the entire agreement between you and us regarding Alp and supersede prior discussions, understandings, and agreements on that subject matter.

26. Survival
Any provisions that by their nature should survive suspension, termination, expiration, or discontinuation of Alp or your account will survive, including provisions relating to: payments and fees owed; intellectual property; licenses to User Content; disclaimers; limitations of liability; indemnification; no waiver; assignment; governing law and jurisdiction; and dispute-related and enforcement provisions.

27. Governing law and jurisdiction
These Terms are governed by the laws of Switzerland, without regard to conflict-of-law rules.
To the extent permitted by law, the exclusive place of jurisdiction for disputes arising out of or relating to these Terms or Alp is the competent court at the seat of ayana group AG.
If mandatory consumer law gives you the right to bring claims in another forum or under mandatory local consumer protections, those mandatory rights remain unaffected.

28. EU online dispute resolution
For consumers in the European Union, the European Commission provides an online dispute resolution platform at:

Unless mandatory law requires otherwise, we are not obliged and do not commit to participate in dispute-settlement proceedings before a consumer arbitration board.
